About the Job

ELP is looking to hire a CA Fresher for its Direct Tax Team based in Pune. The role offers an excellent opportunity to gain hands-on exposure in direct taxation, international tax, FEMA advisory, and mergers and acquisitions (M&A).

Responsibilities

Mergers & Acquisitions (M&A)

• Structuring and advisory on deals from a tax and foreign exchange control perspective, including FEMA, domestic tax law, DTAAs, stamp duty, and other allied laws.
• Drafting and reviewing deal documents such as term sheets, loan agreements, SPAs, disclosures, BTAs, merger schemes, and representations and warranties.
• Supporting conceptualization of deals with a focus on India entry/exit strategy, favorable holding jurisdiction, tax efficiency, and commercial rationale.
• Providing advisory on possible structuring through the IFSC GIFT City.
• Coordinating with stakeholders, including Authorized Dealer (AD) bankers.
• Conducting health checks and preparing due diligence reports.

International Tax and FEMA Advisory

• Advising on international tax matters including PE, profit attribution, business connection, expat taxation, ESOPs, indirect transfer, POEM, capital repatriation, royalty, FTS, broadcasting rights, and tax transparent entities.
• Performing effective tax rate (ETR) planning and analysis for Indian promoter-held groups.
• Advising on FEMA matters and assisting in compounding applications.
• Supporting lower withholding, condonation applications, assessments, and appeals at all levels.
• Engaging with senior counsels, preparing synopses, and assisting in briefings.
